Terms and Conditions for the Viva.city Co-Founder Finders Fee Program
Overview
A one-time fee of $100,000 (the “Finders Fee”) will be awarded to the first person whose direct introduction to a Candidate (the “Candidate”) results in a new co-founder role for Viva.city
A Recursive Bounty will be awarded to the chain of referrers leading to that winner, halving at each additional degree of separation, up to a maximum of ten (10) degrees.
Eligibility
Referrer cannot be the Candidate themselves
Referrals must be made by warm introduction, not via cold applications
Each referrer cannot refer more than 50 people or 5 people per month
Consent: We will only consider an introduction valid if (a) both parties have expressly agreed in writing (e.g., by email or other official communication) to be introduced to the Candidate, and (b) we did not already have discussions in progress with that same individual for the role. Any individual or entity attempting to facilitate an introduction without both parties prior consent will not be eligible to claim the fee.
Dispute Resolution & Determination of Winner
We reserve the right to determine who made the decisive, first introduction based on the best evidence available. Participants acknowledge that there is no right to sue in public courts to dispute our determination of the fee. In the event of a dispute, participants agree to binding resolution through: A. An internal review panel of our company, or B. If the internal panel is not feasible or improper, an internationally recognized arbitrator of our choosing.
In chain disputes, timestamp on the submission form is the sole tiebreaker
Equity must be formally issued or contract signed for the clock to start
Cofounder must remain in role for at least 12 months for any payout to trigger (aligns with vesting cliff, 25% after 1 year, 100% after 4 years, unlocking monthly)
Viva.City's determination of the qualifying intro is final
Expiration
The program is open until filled or until Viva.City publicly closes it
Referrals submitted after closure are not eligible
Distribution
The winner receives $100,000. Referrers in the chain leading to the winner receive a halved portion at each additional degree of separation (e.g., $50,000 at first degree, $25,000 at second, $12,500 at third, etc.), up to a maximum of 10 degrees of separation. Each referrer must provide evidence of who referred them, establishing an unbroken chain back to the winner.
Vesting is of the referral fee itself, not equity in the company
If the cofounder leaves before the cliff, no fee is owed for unvested portion
Right to Modify or Terminate
We reserve the right to modify, suspend, or terminate these Terms if certain circumstances occur, including but not limited to changes in applicable laws or regulations, unforeseen events that render the program’s objectives impracticable, or legal/advisory mandates that affect the viability of this program. Any such modification will take effect immediately upon posting an updated version here (or upon written notification to participants). If you continue to participate in the program after changes are posted or notified, you will be deemed to have accepted the revised Terms. Changes to these Terms will not retroactively affect introductions made in good faith prior to the effective date of the amendment, unless otherwise required by law or clearly stated in the amendment.
Taxes & Payment
Tax Obligations: All recipients are solely responsible for any taxes, fees, or other liabilities arising from the receipt of the fee under their local laws. Legal Payment Channels: All payments will be made through channels that comply with applicable laws, including banking and anti-money-laundering regulations.
Purpose & Transparency
This program is intended to reward the facilitator of a mutually beneficial partnership for Viva City. We emphasize that all actions must be undertaken transparently and in good faith.
